1. Agreement to Terms

By accessing or using https://agnt.design/ ("Site") and purchasing the Agentic Design Toolkit ("Toolkit"), you agree to be bound by these Terms of Use ("Terms") and represent that you are of legal age and authority to enter into these Terms on behalf of yourself or the entity you represent. If you do not agree, do not access or use the Site.

These Terms incorporate any additional policies, guidelines, or terms posted in association with features of the Site, including our Privacy Policy.

2. Access and Restrictions

2.1 License. Upon purchase, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Toolkit solely for internal business use.

2.2 Restrictions. You may not:

* Share, sublicense, sell, transfer, or publicly distribute the Toolkit.

* Create derivative works for public distribution, resale, or publication.

* Reverse engineer or modify the Site.

* Reproduce or adapt the Toolkit outside your internal company use.

2.3 Ownership. All content on the Site and in the Toolkit is protected by U.S. copyright law. U.S. Copyright Registration 1-14918828451 protects the "Agentic Design" work. Vera, LLC retains all intellectual property rights not explicitly granted.

3. Purchases & Payments

3.1 One-Time Payment. The Toolkit is sold via Stripe for $149. All sales are final and non-refundable.

3.2 Pricing Changes. We may change pricing or terms of access to future versions without notice.

4. Consulting Services

Optional consulting services are available and governed by separate terms and agreements.

5. Privacy & Data Collection

5.1 Data Use. When purchasing the Toolkit, we collect your email and limited metadata through Stripe and Google Analytics. We do not sell or share this data.

5.2 Your Rights. EU and California residents may request access, correction, or deletion of personal data. Contact legal@agnt.design to make a request.

5.3 Security. The Site uses SSL encryption and secure third-party services to process transactions.

6. Intellectual Property Policy

We respect the intellectual property rights of others. If you believe your rights have been infringed, email legal@agnt.design with full DMCA-compliant details.

7. Disclaimers

The Toolkit is provided "as is" without warranties of any kind. Vera, LLC disclaims all warranties, including merchantability, fitness for a particular purpose, or non-infringement. Use is at your own risk.

8. Limitation of Liability

To the fullest extent permitted by law, Vera, LLC shall not be liable for indirect, incidental, consequential, or punitive damages. Liability shall not exceed $50.

9. Indemnification

You agree to indemnify Vera, LLC against any claims, damages, or liabilities arising from your use of the Toolkit or violation of these Terms.

10. Dispute Resolution and Arbitration

Disputes will be resolved through binding arbitration in San Diego, CA under the AAA rules. Class actions and jury trials are waived.

You must first provide a written Notice of Dispute. If unresolved after 30 days, arbitration may proceed. Each party pays its own fees.

Exceptions apply for IP violations or emergency injunctive relief.

11. Changes to Terms

We may modify these Terms at any time. Continued use of the Site after changes indicates your acceptance. Material changes will be posted prominently or emailed if applicable.

12. General Terms

These Terms constitute the entire agreement. Any waiver or invalidation of provisions does not affect the remaining Terms. You may not assign these Terms without our prior consent.
